Committees of the Board

Audit Committee

The Board of Cave Shepherd & Co. Limited approved the Audit Committee Charter which outlines the purpose, function and roles and responsibilities of the Audit Committee. The Audit Committee assists the Board in meeting its responsibilities in ensuring an effective system of financial reporting, internal control and risk management.  It provides a direct channel of communication between the Auditors and the Board and assists the Board in ensuring that the audit is conducted in a thorough, objective and cost-effective manner. The majority of the members of the Audit Committee are independent Directors. An independent member is someone who is inter alia, independent of a significant shareholding in Cave Shepherd & Co. Limited and/or someone who has not been an executive member of the Company in the last two years.

Corporate Governance & Nomination Committee

The Board of Cave Shepherd & Co. Limited approved the Corporate Governance & Nomination Committee Charter which outlines the purpose, function and roles and responsibilities of the Corporate Governance and Nomination Committee.  The purpose of the Committee is to ensure that corporate fairness, transparency and accountability is promoted in the pursuit of the Company’s goals and objectives. To this end, the Committee is to obtain independent professional advice and to secure the attendance of outsiders with relevant experience and expertise at meetings if it considers this necessary.

The Corporate Governance Committee is comprised of Independent Directors. An independent member is someone who is inter alia, independent of a significant shareholding in Cave Shepherd & Co. Limited and/or someone who has not been an executive member of the Company in the last two years.
